These Terms and Conditions (“Terms”) govern your use of the Vive mobile application and website (together, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility

3. Accounts

You are responsible for maintaining the confidentiality of your account login details.

You are responsible for all activities that occur under your account.

You may request deletion of your account at any time by contacting us at info@vivelive.io or through your account settings. Once deleted, certain information may remain where required by law or for legitimate business purposes.

We reserve the right to suspend or terminate accounts that violate these Terms or if users fail to act in good faith when using the Services.
4. Use of the Services
You agree not to:

Use the Services for unlawful purposes.

Post or share content that is offensive, defamatory, infringing, or harmful.

Attempt to disrupt, hack, or misuse the Services.
We reserve the right to remove content or suspend access if we reasonably believe you have breached these Terms.
5. Event Confirmations and Contact Details

When an event is confirmed by both an artist and a venue, the relevant contact details (such as email address and/or phone number) of each party will be shared with the other to allow communication and event coordination.

You agree not to misuse or share another user’s contact details outside the scope of the confirmed event.
6. Behaviour and No-Shows

Users are expected to act professionally and respectfully when representing themselves as an artist or venue.

No-shows, repeated cancellations, or unprofessional behaviour may result in suspension or termination of your account.

Vive reserves the right to determine, at its discretion, whether a user’s conduct is inconsistent with the expectations of the platform.
7. Content

You retain ownership of any content (e.g., profile details, event information, media) you upload to the Services.

By uploading content, you grant Vive Live Limited a worldwide, non-exclusive, royalty-free licence to use, display, and distribute that content within the Services for the purpose of operating and promoting the platform.

You are responsible for ensuring you have the rights to any content you upload.
8. Subscriptions and Payments

Certain features of the Services may require a subscription or payment.

Fees, billing terms, and cancellation policies will be displayed at the point of purchase.

Payments are handled through secure third-party providers; we do not store full payment card details.

Subscriptions will automatically renew unless cancelled in accordance with the terms provided in your account settings or relevant app store policies.
9. Event Interactions

Vive provides a platform for artists, venues, and (in future) customers to connect.

We do not guarantee the accuracy of user-generated content or the success of bookings.

Any agreements, payments, or disputes between users are the responsibility of those users, unless specifically processed through Vive’s payment systems.
10. Intellectual Property

All trademarks, branding, logos, and software related to Vive are owned by Vive Live Limited.

You may not copy, modify, distribute, or reverse-engineer any part of the Services without our prior written consent.
11. Termination
We may suspend or terminate your access to the Services at any time if you:

Breach these Terms;

Misuse the Services;

Fail to follow through with confirmed events (e.g., no-shows) or behave in a way inconsistent with the expectations of a performer or venue;

Engage in behaviour that could harm Vive, other users, or the wider community.
You may delete your account at any time as described in Section 3.
12. Limitation of Liability

The Services are provided “as is” without warranties of any kind.

We are not responsible for any loss or damage arising from:

Use of, or inability to use, the Services;

User-generated content;
-
Bookings, events, or transactions between users.

To the extent permitted by law, our total liability is limited to the amount you paid (if any) for use of the Services in the 12 months prior to the claim.
13. Indemnity
You agree to indemnify and hold harmless Vive Live Limited against any claims, damages, or expenses arising from your use of the Services, your content, or your breach of these Terms.
14. Changes to the Terms
We may update these Terms from time to time. If we make significant changes, we will notify you by posting the updated Terms in the app and updating the “Effective Date.”
15. Governing Law
These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
